NOTICE OF PUBLIC HEARING
Notice is hereby given that a request has been made that on November 21, 2017, a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), will be held by the Clayton County Board of Commissioners with respect to the proposed issuance by the Public Finance Authority (the “Issuer”) of its revenue bonds in one or more series (the “Bonds”), in an amount not to exceed $387,000,000. The hearing will commence at 6:30 p.m., or as soon thereafter as the matter can be heard, and will be held at Clayton County Board of Commissioners Board Room, 112 Smith Street, Jonesboro, GA 30236.
The Bonds are expected to be issued pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, by the Issuer, a commission organized under and pursuant to the provisions of Sections 66.0301, 66.0303 and 66.0304 of the Wisconsin Statutes, as amended. The proceeds from the sale of the Bonds will be loaned to Prime Healthcare Foundation, Inc., a Delaware nonprofit nonstock corporation and an organization described in Section 501(c)(3) of the Code (the “Borrower”) which will use a portion of the proceeds, in the amount not to exceed $51,000,000, to finance, refinance and/or reimburse the costs of the acquisition, construction, equipping and improvement of the hospitals, other healthcare facilities, and their related facilities, including land (the “Projects”), owned by Prime Healthcare Foundation – Southern Regional, LLC, an affiliate of the Borrower, located generally at the following addresses in Georgia: 11 Upper Riverdale Road, Riverdale. Prime Healthcare Management II, Inc. provides certain management services to the Projects.
The remainder of the proceeds of the Bonds will be used by other affiliates of the Borrower for projects located in the states of California, Ohio and Texas.
The Bonds will be special limited obligations of the Issuer payable solely from the loan repayments to be made by the Borrower to the Issuer, and certain funds and accounts established by the bond indenture for the Bonds.
The hearing will provide a reasonable opportunity to be heard for persons wishing to express their views on the merits of the Projects, their locations, the issuance of the Bonds by the Issuer or related matters. A person wishing to speak at the hearing will be asked to provide his or her name, address and the person(s) or entity(ies) he or she represents, if any, prior to speaking. Written comments will be accepted by County Clerk at 112 Smith Street, Jonesboro, GA 30236, but must be received by the close of the hearing.
